Terms of Service

These terms govern both website use and Monarck service delivery. They are provided for clarity and transparency.

1. Scope and Acceptance

These Terms of Service ("Terms") govern your use of the Monarck website and your purchase or use of Monarck services, including implementation, hypercare, and Managed Care.

By using our website, submitting an intake form, booking a call, or purchasing services, you agree to these Terms.

2. Services

Monarck provides AI agent deployment and support services, including environment setup, configuration, integrations, security hardening, and ongoing care based on your selected plan.

Service descriptions, deliverables, and timelines may vary by plan and client scope. We may update offerings and pricing from time to time.

3. Pricing, Billing, and Payment

Implementation fees are one-time charges. Managed Care is billed monthly. Token/API usage is billed separately based on consumption.

Unless otherwise stated in a signed order form, invoices are due on receipt. Fees are non-refundable once implementation work has materially begun.

4. Hypercare and Managed Care

Implementation includes a 14-day hypercare period focused on issues directly related to the initial deployment.

Ongoing monitoring, updates, optimization, and support after hypercare require an active Managed Care plan.

5. Customer Responsibilities

You are responsible for providing accurate information, timely access, and required approvals needed to deliver services.

You are responsible for maintaining backups and ensuring your use of Monarck and connected tools complies with applicable law and third-party terms.

6. Integrations and Third-Party Services

Monarck may connect to third-party tools (for example, workspace, CRM, communications, and automation providers). Availability and behavior of those services are outside Monarck's control.

You are responsible for the credentials, permissions, and licensing required for third-party integrations.

7. Data, Security, and Access

We use reasonable administrative and technical safeguards to protect systems under our control. No system can be guaranteed 100% secure.

During setup and support, we may require limited access to systems or credentials needed to perform services. You should rotate credentials after sensitive setup events.

8. Customer Data and Export

Customer data remains yours. On cancellation, we provide a structured export of your customer data and operating history.

Monarck infrastructure, proprietary playbooks, managed service runbooks, and internal operational tooling are not transferred.

9. Intellectual Property

Monarck retains all rights in its platform, methods, documentation, branding, and other proprietary materials.

You retain rights in your pre-existing materials and data. Each party retains rights in its own intellectual property unless otherwise agreed in writing.

10. Website Use

You agree to use the website lawfully and not to interfere with the website's operation, security, or other users.

Website content is provided for general information. You may not copy, republish, or redistribute protected materials without permission.

11. Disclaimers

Services and website content are provided on an "as is" and "as available" basis to the maximum extent permitted by law.

We do not guarantee uninterrupted service, error-free operation, or specific business outcomes.

12. Limitation of Liability

To the maximum extent permitted by law, Monarck is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages.

Monarck's total aggregate liability for claims arising from or related to the services will not exceed the amounts paid by you to Monarck for the service giving rise to the claim during the 3 months before the claim.

13. Indemnification

You agree to defend, indemnify, and hold Monarck harmless from claims arising from your misuse of services, violation of law, or breach of these Terms.

14. Suspension and Termination

We may suspend or terminate services for material breach, security risk, unlawful conduct, or non-payment.

You may cancel Managed Care under your agreed billing terms. Fees owed through the effective cancellation date remain payable.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.

Before formal proceedings, both parties agree to attempt good-faith resolution of disputes.

16. Changes to Terms and Contact

We may update these Terms from time to time by posting a revised version on this page with an updated effective date.
